These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Thrum LLC ("Thrum," "we," "us," or "our"), governing your access to and use of the Thrum platform and all related services (collectively, the "Service"). Please read these Terms carefully before creating an account or using the Service.


By creating an account, signing in, or otherwise accessing the Service, you agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a clinic or other organization, you represent that you have the authority to bind that organization, and the term "you" includes both you and that organization.


If you do not agree to these Terms, do not access or use the Service.

Eligibility and account creation

1.1 Age Requirement

You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that you are 18 or older.


1.2 Account Types

The Service operates on a two-level account structure:

  • Clinic Account. A clinic, practice, or healthcare organization ("Clinic") creates the primary account and is responsible for accepting these Terms and any applicable agreements on behalf of the organization.

  • Clinician Account. An individual clinician, therapist, or other healthcare professional ("Clinician") may be added to a Clinic account by a Clinic administrator, or may independently create a Clinician account. Clinicians are individually bound by these Terms.


1.3 Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@thrum.ai if you suspect any unauthorized access to or use of your account. Thrum is not liable for any loss or damage arising from your failure to safeguard your credentials.

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date.

The service

2.1 Description

Thrum is a clinical documentation platform that allows licensed clinicians and healthcare professionals to document therapy and clinical sessions, create and manage treatment plans, and receive AI-assisted suggestions for session documentation, treatment planning, and billing codes.


2.2 Not an Electronic Health Record (EHR)

Thrum is not an Electronic Health Record system and does not manage billing on behalf of users, submit claims to insurance, or process payments between clinicians and patients. Any billing-related features are limited to informational suggestions only (see Section 4 on AI Features).


2.3 No Patient Access

The Service is designed exclusively for use by clinicians and clinic staff. Patients and clients do not have access to the Thrum platform, and Thrum does not facilitate direct communication between clinicians and patients.


2.4 Availability

We strive to maintain reliable, continuous access to the Service but do not guarantee uninterrupted availability. We reserve the right to perform maintenance, updates, or modifications at any time, with or without notice. Where possible, we will provide advance notice of planned downtime.

HIPAA compliance and Business Associate Agreement

3.1 HIPAA Commitment

Thrum is designed and operated in compliance with the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations ("HIPAA"). We implement and maintain administrative, physical, and technical safeguards appropriate to the nature of the protected health information ("PHI") processed through the Service.


3.2 Business Associate Agreement

Because Thrum acts as a Business Associate under HIPAA when handling PHI on behalf of Covered Entities, each Clinic must execute a Business Associate Agreement ("BAA") with Thrum before completing account setup and accessing the Service. The BAA is presented during the clinic registration process and must be reviewed and signed electronically before the Clinic account is activated.


3.3 BAA Updates

If the BAA is materially updated, Clinic account administrators will be notified and required to review and accept the revised BAA before continuing to use the Service. Continued use of the Service following acceptance constitutes agreement to the updated BAA.


3.4 Clinician Responsibility

Clinicians are responsible for using the Service in a manner consistent with their own HIPAA obligations and the policies of their associated Clinic. Thrum does not assume responsibility for a user's compliance with HIPAA obligations that fall outside the scope of the BAA.

AI-powered features

4.1 AI Assistance

The Service incorporates artificial intelligence capabilities to assist clinicians with documentation efficiency and clinical workflow. AI-powered features may include, but are not limited to:

  • Session note drafting and formatting suggestions

  • Treatment plan recommendations

  • Clinical insights and thematic summaries

  • Billing code suggestions based on documented session content


4.2 Suggestions Only — Not Clinical or Billing Advice

All AI-generated output is provided for informational and assistive purposes only. AI suggestions — including treatment plan recommendations, clinical insights, and billing code suggestions — do not constitute and should not be construed as medical advice, clinical guidance, mental health advice, legal advice, or billing or coding advice.


Billing code suggestions generated by the Service are illustrative in nature. They do not guarantee coverage, reimbursement, or compliance with any payer's requirements. Clinicians and Clinics remain solely responsible for the accuracy and appropriateness of any codes submitted for reimbursement.


You acknowledge that AI-generated content may contain errors, omissions, or inaccuracies. All AI output must be reviewed, validated, and approved by a qualified clinician before being included in any clinical record or relied upon in any clinical decision. Thrum is not liable for any outcome resulting from reliance on AI-generated suggestions.


4.3 Third-Party AI Provider

AI features within the Service are powered by Claude (claude-sonnet-4-20250514), operated by Anthropic and accessed via Amazon Web Services (AWS) Bedrock. By using AI features, you acknowledge that prompts and associated data may be transmitted to these services in accordance with our Privacy Policy and applicable data processing agreements. Anthropic and AWS do not use your data to train their models under our enterprise agreements.


4.4 Your Clinical Judgment

The Service is a tool to support — not replace — your professional clinical judgment. Thrum makes no representations or warranties regarding the clinical validity, regulatory compliance, or suitability of any AI-generated content for any specific patient or use case.

Data ownership and privacy

5.1 Your Data is Yours

Clinicians retain full ownership of all clinical notes, treatment plans, documentation, and other content they create within the Service ("User Content"). Thrum claims no ownership over User Content.


5.2 License to Operate the Service

By uploading or creating User Content in the Service, you grant Thrum a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely as necessary to provide and maintain the Service. This license does not extend to any other use.


5.3 No Use for AI Training

User Content — including clinical notes, session documentation, treatment plans, and any PHI — is never used to train, fine-tune, or improve any AI or machine learning model, including the AI features within the Service.


5.4 Aggregate and Anonymized Data

Thrum does not currently use anonymized or aggregated platform data for product research or improvement. In the event we introduce such practices in the future, we will update these Terms and our Privacy Policy, provide appropriate notice, and ensure that any data used is fully de-identified in accordance with HIPAA's de-identification standards. Such data will never be attributable to an individual clinician, patient, or clinic.


5.5 Privacy Policy

Our collection, use, and protection of personal information and PHI is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Subscription, billing, and cancellation

6.1 Subscription Plans

Access to the Service requires a paid subscription. Subscription fees are stated at the time of purchase and are subject to change with reasonable advance notice. Subscriptions are available on a:

Billed once per year at a discounted rate

6.2 Free Trial

New Clinic accounts may be eligible for a 14-day free trial. During the free trial period, access to document uploads and AI-assisted features is subject to usage limits disclosed at registration. After the trial period ends, continued access requires a paid subscription. Thrum reserves the right to modify or discontinue the free trial offer at any time.


6.3 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize Thrum to charge the applicable subscription fees to your chosen payment method on a recurring basis. Thrum does not store your full payment card details.


6.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You are responsible for cancelling your subscription if you do not wish to be charged for a subsequent period.


6.5 Refunds

Thrum does not have a standard refund policy. Refund requests are evaluated on a case-by-case basis at Thrum's sole discretion. To submit a refund request, contact us at hello@thrum.ai. Nothing in this section limits any rights you may have under applicable law.

Data retention and account cancellation

7.1 Access After Cancellation

If a subscription is cancelled or lapses, the affected account transitions to a read-only state. Users retain access to view and export all User Content they have previously added to the platform. The ability to create new documents, upload files, or use AI features is suspended until an active subscription is reinstated.


7.2 Data Retention

Thrum retains User Content and account data in accordance with applicable federal and state laws governing clinical record retention. We do not unilaterally delete User Content upon subscription cancellation. Users are encouraged to export their data prior to termination of their account.


7.3 Account Termination by Thrum

Thrum reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or otherwise misuse the Service. Where feasible, we will provide notice and an opportunity to cure before termination.

Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in violation of any applicable federal, state, or local law or regulation, including HIPAA;

  • Upload or transmit content that infringes on the intellectual property rights of any third party;

  • Attempt to gain unauthorized access to any part of the Service, its systems, or the accounts of other users;

  • Use the Service to store or transmit malicious code, viruses, or disruptive content;

  • Reverse engineer, decompile, or disassemble any component of the Service;

  • Use AI features to generate content intended to deceive, defraud, or mislead any person or entity;

  • Access the Service for purposes of competitive intelligence or building a competing product; or

  • Share access credentials or allow unauthorized individuals to access your account.

Intellectual property

9.1 Thrum's IP

The Service, including its software, design, features, trademarks, and all content provided by Thrum (excluding User Content), is owned by or licensed to Thrum LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in Thrum's intellectual property other than the limited right to use the Service as described herein.


9.2 Feedback

If you provide Thrum with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant Thrum a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose, without obligation of confidentiality or compensation.

Disclaimers

10.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. THRUM DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE FROM HARMFUL COMPONENTS.


10.2 No Clinical Warranty

THRUM MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE CLINICAL ACCURACY, COMPLETENESS, OR SUITABILITY OF ANY AI-GENERATED CONTENT, BILLING CODE SUGGESTION, OR TREATMENT RECOMMENDATION FOR ANY PARTICULAR PATIENT OR CLINICAL SITUATION. USE OF SUCH FEATURES IS ENTIRELY AT YOUR OWN RISK AND PROFESSIONAL DISCRETION.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THRUM LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, CLINICAL OUTCOMES, OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF THRUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


IN NO EVENT SHALL THRUM'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO THRUM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).


Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, Thrum's liability is limited to the greatest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Thrum LLC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) any claim that your User Content caused damage to a third party; or (e) your clinical decisions or actions, including any reliance on AI-generated output.

Governing law and dispute resolution

13.1 Governing Law

These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the state in which Thrum LLC is incorporated, without regard to its conflict of law principles.


13.2 Informal Resolution

Before initiating any formal dispute, you agree to contact Thrum at hello@thrum.ai and attempt to resolve the matter informally for at least thirty (30) days.


13.3 Jurisdiction

To the extent a dispute proceeds to litigation, both parties consent to exclusive jurisdiction in the courts located in Orange County, California, and waive any objection to the exercise of jurisdiction over the parties by such courts.

Changes to these terms

Thrum reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email and/or by displaying a prominent notice within the Service prior to the changes taking effect. The updated Terms will display a revised "Last Updated" date. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes.

Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy, the BAA (where applicable), and any other agreements incorporated by reference, constitute the entire agreement between you and Thrum LLC with respect to the Service.


15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.


15.3 Waiver

Thrum's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.


15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Thrum's prior written consent. Thrum may freely assign its rights under these Terms.


15.5 Force Majeure

Thrum shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, or government actions.
